Transparenzregister: Update Your Entry After Every Funding Round
After closing a funding round, most founders focus on hiring and product. The Transparenzregister update gets forgotten until a fine notice arrives.
Every GmbH and UG in Germany must register its beneficial owners (anyone holding more than 25% of shares) at transparenzregister.de. When ownership stakes change (as they do in every priced round) the register must be updated without undue delay. There is no grace period.
Fines for non-compliance reach up to EUR 150,000. In practice, initial penalties are lower, but they compound with repeated violations.
For each beneficial owner you must file the full name, date of birth, nationality, and extent of the beneficial interest. That means anyone holding more than 25% of shares, whether directly or indirectly through a holding structure.
What to do after closing: Add the Transparenzregister update to your post-closing checklist, right next to the Handelsregister filing and cap table update. It takes fifteen minutes online. There is no reason to skip it.
